SEC Targets Deeper, More Resilient Capital Market as Recovery Gains Momentum

Ghana’s Securities and Exchange Commission (SEC) is positioning the capital market for deeper growth in 2026, building on the improved liquidity and investor confidence recorded following the country’s domestic debt restructuring.

The Commission says the market is showing signs of recovery, but has cautioned that risks linked to the Domestic Debt Exchange Programme (DDEP) and uncertainties in the global economy could still affect the pace of progress.

In its 2025 Annual Report, the SEC described its outlook for 2026 as cautiously optimistic, citing improving macroeconomic conditions, financial-sector reforms and strengthening investor confidence as key factors supporting the recovery.

The Commission’s strategy this year will focus on deepening the market, improving liquidity, strengthening regulation and expanding investment opportunities.

Regulatory reforms take centre stage

A major component of the SEC’s agenda is the implementation of regulatory reforms aimed at bringing Ghana’s capital market closer to international standards.

The Commission plans to advance the revised Securities Industry Act and operationalise the regulatory framework for virtual assets following the enactment of the Virtual Asset Service Providers Act, 2025.

The SEC said subsidiary regulations, licensing requirements and supervisory measures will be developed to provide greater clarity for market participants while strengthening investor protection.

It also expects to roll out a comprehensive supervisory framework for the virtual asset sector during 2026.

SEC seeks to boost market liquidity

Beyond regulation, the Commission intends to introduce measures designed to increase trading activity and broaden the range of investment instruments available to investors.

These include guidelines covering market making, securities lending and borrowing, margin trading and asset-backed securities.

The SEC also plans to develop guidelines for non-interest bonds, including Sukuk, as part of efforts to diversify investment products and funding sources.

The focus follows a strong rebound in Ghana’s fixed-income market in 2025.

According to the report, cumulative trade volumes reached GH¢245.85 billion, supported by improved liquidity, falling yields and the gradual restoration of market depth following the debt restructuring exercise.

Digital supervision and investor protection

The SEC is also targeting improvements in its regulatory infrastructure, with the full operationalisation of its Regulatory Compliance Portal expected to strengthen data-driven supervision and make interactions with market operators more efficient.

The Commission said it would continue implementing the Capital Market Master Plan, with emphasis on strengthening institutional capacity, developing the market and providing alternative sources of financing for the productive sectors of the economy.

Investor education and protection will remain key priorities, with the SEC also working with development finance institutions and other strategic partners to support market development.

Global risks remain

Despite the positive signs, the SEC has warned that the capital market remains exposed to developments beyond Ghana’s borders.

The Commission identified potential risks including further trade restrictions, tighter export controls and weaker-than-expected returns from emerging technology investments, which could weigh on global growth and financial-market stability.

The SEC therefore says maintaining the recovery will require continued reforms, stronger market resilience and improved investor confidence.

The Commission believes that with these measures, Ghana’s capital market can play a more significant role in mobilising long-term financing and supporting inclusive and sustainable economic growth.
