ECG Secures Major International Legal Triumph as Tribunal Throws Out All PDS Claims

The Electricity Company of Ghana (ECG) has scored a landmark legal victory in London after an international arbitration tribunal dismissed every claim filed against it by Power Distribution Services Ghana Limited (PDS), bringing an end to a high-profile dispute that has loomed over Ghana’s energy sector since 2019.

The ruling closes a nearly three-year arbitration process triggered by PDS’s challenge to the Government of Ghana’s termination of its electricity distribution concession — a flagship reform arrangement under the Millennium Challenge Compact (MCC) with the United States.

Origins of the Dispute

PDS assumed control of ECG in March 2019 under a 20-year private-sector concession designed to inject efficiency and investment into Ghana’s power distribution network. But within months, the government suspended the arrangement after uncovering that the payment guarantees submitted by PDS — via Qatar-based Al Koot Insurance and Reinsurance — were fraudulent.

The guarantees were a core requirement of the agreement, intended to assure PDS’s financial capacity and safeguard the state’s assets. Although PDS insisted it had met all obligations, investigations proved otherwise. Proceedings in Qatar, including a ruling by the nation’s Court of Cassation, confirmed the documents were forged and had never been approved by Al Koot.

These revelations led the government, through ECG, to formally terminate the concession.

Battle in London

PDS subsequently launched arbitration in London, seeking to overturn the termination and claim substantial compensation — including US$39.4 million in costs and more than US$351 million in alleged lost profits.

However, ECG’s legal team, led by Cherie Blair KC of Omnia Strategy LLP, firmly defended Ghana’s position, arguing that PDS failed in its basic duty to verify the authenticity of its own financial guarantees. That failure, ECG maintained, fundamentally breached the concession terms and compromised Ghana’s national interest.

Tribunal’s Verdict

The tribunal agreed. In a decisive ruling, it threw out all PDS claims, affirming that the fraudulent guarantees struck at the core of the concession and fully justified ECG’s termination actions.

Major Win for Ghana

The outcome shields the Ghanaian state from over US$390 million in potential liabilities and draws a line under one of the most controversial contracts in the nation’s power sector history.

With the case now closed, ECG says it can shift full attention back to strengthening power delivery to consumers without the cloud of litigation over the former concession arrangement.
