COCOBOD Cocoa Notes Prospectus Raises Questions Over Use of Commercial Paper Proceeds

COCOBOD’s GH¢16.3 billion Cocoa Notes Programme has raised questions over how proceeds from its planned commercial paper issuance may ultimately be applied, particularly in relation to the repayment of a bridge facility linked to existing debt.

The concern stems from differences between the purpose outlined in COCOBOD’s investor presentation and provisions contained in the programme’s prospectus.

In an investor presentation issued earlier this month, COCOBOD indicated that approximately GH¢14 billion of short-term commercial paper would be used to finance cocoa purchases, while GH¢2.3 billion in longer-term bonds would be directed towards refinancing existing cocoa obligations.

However, the prospectus contains a provision allowing proceeds from either commercial paper or bonds to be used to repay bridge funding obtained ahead of an issuance, provided the funding falls within the programme’s permitted uses.

The prospectus states that details of any such bridge financing would be disclosed in the relevant pricing supplement.

The provision has prompted questions about whether proceeds from commercial paper, which investors were told would primarily support cocoa purchases, could also be channelled towards a bridge facility associated with legacy debt.

The issue centres on the apparent distinction between the stated allocation of the programme’s instruments and the broader flexibility provided in the prospectus.

While the investor presentation assigns commercial paper largely to cocoa purchases and bonds to the refinancing of existing obligations, the prospectus appears to permit either instrument to be used to repay qualifying bridge financing.

This raises a key question over how a commercial paper issuance designated for cocoa purchases would interact with a bridge facility used to refinance legacy obligations.

The prospectus provides that the details and application of any such bridge funding would be disclosed in the applicable pricing supplement, meaning investors may require further information on the specific use of proceeds when each issuance is priced.

The issue comes as COCOBOD seeks to mobilise substantial short- and medium-term financing under the GH¢16.3 billion programme to support its cocoa-sector financing needs and manage existing obligations.

The distinction between the headline purpose presented to investors and the wider permitted uses in the prospectus could therefore become significant as COCOBOD proceeds with its commercial paper programme.
