$100M Black Volta Gold Deal Sparks Confusion, Legal Tensions, and Political Intrigue

A brewing controversy over the Black Volta Gold Project in Ghana has ignited questions of transparency, governance, and political interference—casting a shadow over what was billed as a landmark moment for indigenous ownership in Ghana’s mining sector.

At the heart of the storm is a $100 million Acquisition Facility Agreement announced by the ECOWAS Bank for Investment and Development (EBID) to support Engineers & Planners (E&P) in acquiring the Black Volta Gold Mine—a project currently owned by Azumah Resources Ghana, itself controlled by Ibaera Capital, an Australian private equity firm. But Ibaera has flatly denied any involvement or consent to such a deal, raising serious concerns about the legality and propriety of the financing announcement.

“Ibaera is not party to this transaction,” sources close to the firm insist. “Any such agreement is not recognised under existing contractual terms.”

A Deal in Dispute

The Black Volta saga began with a 42-page agreement signed in September 2023 between E&P and Ibaera-linked entities. The deal laid out a clear path: E&P would inject over $180 million to assume control of Azumah Ghana, while also absorbing historic liabilities dating back nearly two decades. Key clauses prevented E&P from raising funds unilaterally or altering control structures without Ibaera’s active involvement.

Crucially, E&P was given until June 30, 2024, to make a first tranche payment exceeding $181 million in exchange for equity in Azumah Ghana. When that deadline lapsed without payment, Ibaera terminated the agreement, triggering legal arbitration in London.

Yet, EBID’s announcement—framed as a victory for local mining ownership—suggests the deal remains alive, a contradiction that now places the multilateral bank in an awkward spotlight.

EBID Under Pressure

As a regional development bank entrusted with sound governance and due diligence, EBID now faces questions over how it approved a financing agreement tied to assets in legal dispute.

Observers say the bank’s Chair of Governors is Ghana’s Finance Minister, a presidential appointee, and two current directors on the Azumah Ghana board were nominated by E&P, which is led by Ibrahim Mahama, brother of Ghana’s President, John Dramani Mahama. Both directors hold significant public roles—one chairs SSNIT, another heads the Ghana Infrastructure Investment Fund.

These interconnections have fueled suspicions of political influence, with analysts warning that state-linked interventions could damage Ghana’s reputation as a secure mining investment destination.

“If EBID signed this deal without Ibaera’s approval, that’s not just a contractual breach—it’s a governance failure,” said one legal expert familiar with the case.

A President’s “Intervention”?

Unconfirmed reports suggest President Mahama may be weighing an intervention to de-escalate tensions—a move that may be necessary given the sensitive political and legal dynamics. The dispute is no longer just a business negotiation gone awry—it is now a potential diplomatic incident, with ramifications for foreign investor confidence and the rule of law in Ghana’s mining sector.

Sources familiar with the arbitration say that the London proceedings could impact not just E&P’s ambitions, but also Ghana’s broader strategic push to empower local firms in extractive industries.

“Creating national champions in mining requires discipline, clear policy, and strong institutions—not backdoor deals and legal brinkmanship,” a governance expert commented.

A History of Promise and Setbacks

The Black Volta Gold Project is one of Ghana’s most promising untapped gold reserves. First discovered in the early 2000s, the project gained traction under Azumah Resources, an Australian-listed firm that brought in Ibaera in 2017 to inject capital and accelerate exploration. By 2020, reserves had swelled past 1.6 million ounces, with an anticipated mine life of over a decade.

But chronic underfunding, regulatory bottlenecks, and community unrest slowed development. Ibaera’s partnership with E&P in 2023 was seen as a chance to reset and localize ownership—until it collapsed under unmet financial obligations.

What Comes Next?

The situation remains fluid. E&P may still be seeking alternative ways to raise capital, but without Ibaera’s cooperation, share transfer and mine control remain out of reach. Meanwhile, the EBID facility—if disbursed—could trigger further legal complications and even regulatory blowback.

For stakeholders in Ghana’s mining sector, the Black Volta controversy is a cautionary tale: good intentions and patriotic rhetoric alone cannot substitute for robust commercial discipline, legal clarity, and independent oversight.

As one seasoned investor put it, “National pride is good. But if we want to build credible Ghanaian mining champions, we need to win in the boardroom and the courtroom—not just the press room.”
