Ghana Banking Recovery Strengthens Case for Attijariwafa’s Societe Generale Acquisition – Fitch

The improving financial environment in Ghana could provide a supportive backdrop for Attijariwafa Bank as it takes control of Societe Generale Ghana, despite the relatively small size of the subsidiary within the Moroccan lender’s wider operations.

Fitch Ratings says Ghana’s recovering banking sector and the improved operating environment following the country’s debt restructuring could create opportunities for the acquisition to contribute positively to Attijariwafa Bank’s earnings over time.

Attijariwafa Bank is acquiring a 55.2% stake in Societe Generale Ghana.

Fitch estimates that Societe Generale Ghana could account for about 3% of Attijariwafa Bank’s net income based on 2025 figures, giving the Moroccan group some additional earnings diversification without creating significant financial pressure.

Ghana’s banking sector shows stronger profitability

Fitch’s assessment comes against the backdrop of improving profitability across Ghana’s banking sector.

The sector recorded a pre-tax return on equity of 22% and a return on assets of 4.3% during the first eight months of 2026.

According to Fitch, these relatively strong returns could make Ghana an attractive market for a regional banking group seeking to diversify its earnings.

The ratings agency also notes that Ghana’s banking sector has been recovering from the volatility associated with the 2024 Domestic Debt Exchange Programme.

The improvement in Ghana’s sovereign position has contributed to a more favourable operating environment for banks.

Fitch upgraded Ghana’s sovereign rating to ‘B’ with a Positive Outlook in May, citing a sharp reduction in government debt relative to GDP and stronger international reserves.

The developments have helped reduce external liquidity risks and support greater stability in the financial sector.

Limited financial exposure for Attijariwafa

Despite the potential earnings contribution, Fitch does not expect the acquisition to significantly alter Attijariwafa Bank’s financial profile.

Societe Generale Ghana had assets of less than US$1 billion at the end of 2025, representing about 1% of Attijariwafa Bank’s total assets and approximately 11% of its total equity.

The relatively small size of the Ghanaian operation means the transaction is expected to have only a modest effect on the group’s balance sheet and earnings in the medium term.

Fitch also expects the acquisition to have no material impact on Attijariwafa Bank’s regulatory capital ratios.

Its Common Equity Tier 1 ratio is projected to remain within the 10% to 11% range in the near term.

Cedi risk remains contained

Fitch further expects currency movements involving the Ghana cedi to have a limited impact on Attijariwafa Bank’s regulatory capital.

The ratings agency attributes this to the relatively small contribution of Societe Generale Ghana to the Moroccan group’s overall balance sheet.

The transaction therefore gives Attijariwafa Bank an opportunity to increase its exposure to Ghana’s recovering banking market while keeping the financial and capital risks associated with the acquisition relatively contained.

For Ghana, the entry of a major Moroccan banking group also comes as the domestic banking sector continues to recover from the effects of the debt restructuring and broader macroeconomic pressures of recent years.
